Judo Australia – Seeking volunteer Company Secretary


Background/Introduction:


Judo Australia (JA), Australia’s national sport organisation for Judo is seeking a volunteer Company Secretary to assist with governance of the organisation, assisting with compliance of applicable policies and regulations, and preparing for, attending (and minuting) board meetings.


JA is the National Sporting Organisation (NSO) with the purpose of facilitating and promoting Judo in Australia. Our vision is inspired by the Judo moral code to create safe, welcoming and fun experiences.

The role:


The role of Company Secretary is a volunteer position and requires a commitment to attend (virtually) 6 board meetings per year, and an AGM, typically held online outside of business hours.


The Company Secretary will work closely with the Chair, and where necessary the CEO, of JA and is accountable for legal and policy compliance . Including but not limited to:


· Managing administration of the Board and fostering a culture of compliance

· Providing secretarial support for Board and General Meetings, including: minute taking, preparation of board papers, etc.

· Provide high-level strategic advice pertaining to policy and governance to ensure best practice corporate governance through administering compliance with ASIC and other statutory obligations

· Work closely with the Chair, CEO and Committee Chairs, where necessary,


Selection Criteria

JA are looking for people who have:

· Relevant qualifications in governance, including membership with Governance Institute or AICD.

· Professional company secretarial skills and/or experience as a Company Secretary.

· Willingness to actively engage with the JA Board and Management.

· Ability to commit the time required to fulfil the role.

· Good communication skills and a demonstrable track record of always acting ethically and with integrity.
